Terms of Service

These Terms of Service ("Terms") govern your access to and use of Marcenta ("Service"). By accessing or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

1. The Service

Marcenta is a software service for marketing analytics, reporting, anomaly detection, planning, connected data ingestion, collaboration, and AI-assisted analysis.

Some features may be labeled beta, preview, or experimental. Those features may change more quickly and may have reduced support or reliability compared with generally available features.

2. Eligibility and accounts

You must be at least 18 years old and able to enter into a binding agreement. You are responsible for safeguarding your credentials, maintaining accurate account information, and all activity that occurs under your account.

You must ensure that users you invite are authorised to access your workspace and connected data.

3. Plans, trials, billing, and limits

Marcenta may offer free access, free trials, paid subscriptions, usage-based limits, and feature gated plans. Available plan tiers, pricing, included limits, and feature entitlements may be shown in the product, on our pricing pages, in checkout, or in an order form.

If you start a trial or paid plan, you authorise us and our billing provider to process the corresponding subscription. Trials may convert to paid subscriptions unless cancelled before the end of the trial period, as stated at checkout.

We may enforce plan-specific limits, including limits on connected sources, AI usage, credits, features, seats, or other Service capacity. If you exceed a limit, we may restrict further use of the affected feature until you upgrade, purchase more capacity, or the applicable billing period resets.

Fees are non-refundable except where required by law or expressly stated otherwise in writing. You are responsible for applicable taxes, duties, and similar charges other than taxes based on our net income.

4. Customer data and connected sources

You retain ownership of your data. By using the Service, you grant us a limited right to host, use, copy, transmit, transform, and otherwise process your data as necessary to provide, secure, support, and improve the Service for you.

You are responsible for ensuring that you have all rights, permissions, notices, and lawful bases required to connect third-party sources and provide data to Marcenta.

You must not use the Service to submit sensitive or regulated data that the Service is not designed to support, including special-category health data, government ID numbers, or payment card data, unless we expressly agree in writing.

5. AI features

Marcenta includes AI-assisted features that may generate summaries, insights, explanations, plans, charts, and other outputs. AI output may be incomplete, inaccurate, or unsuitable for your specific circumstances.

You are responsible for reviewing AI output before relying on it for business, financial, marketing, legal, or operational decisions.

We do not use your customer data to train third-party general-purpose AI models without your explicit consent.

6. Acceptable use

You agree not to:

  • Use the Service in violation of applicable law or third-party rights
  • Upload or process data you do not have the right to use
  • Attempt to gain unauthorised access to the Service or related systems
  • Interfere with the integrity, security, or performance of the Service
  • Reverse engineer or attempt to extract source code except where law prohibits restriction
  • Use the Service to build a competing dataset, service, or model in a manner that violates these Terms
  • Misuse AI features for unlawful, deceptive, or harmful activity

7. Third-party services

The Service depends on third-party providers, integrations, and subprocessors, including cloud, email, AI, billing, and source platform providers. We are not responsible for outages, API changes, or acts or omissions of third-party platforms outside our reasonable control.

8. Intellectual property

The Service, including our software, interfaces, branding, and related materials, is owned by Marcenta and protected by intellectual property law. Except for the limited rights expressly granted to you, these Terms do not transfer any ownership rights to you.

9. Availability, changes, and support

We may modify, improve, suspend, or discontinue parts of the Service from time to time. We do not guarantee that every feature will remain available indefinitely.

We may release updates, bug fixes, and security changes without prior notice where reasonably necessary.

10. Disclaimer of warranties

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARCENTA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, GOODWILL, DATA, OR BUSINESS INTERRUPTION. OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNTS PAID BY YOU TO US FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM OR $100 USD.

12. Suspension and termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms, fail to pay applicable fees, create security or legal risk, exceed plan entitlements in a way that cannot reasonably be supported, or if continued provision of the Service is no longer commercially or legally feasible.

After termination, we may delete or de-identify data in accordance with our retention practices, except where retention is required by law or reasonably necessary for security, audit, billing, or dispute resolution purposes.

13. Governing law and disputes

These Terms are governed by the laws applicable to the Marcenta contracting party identified in your order form, invoice, or commercial agreement. If no such party is identified, disputes will first be addressed through good-faith negotiation and, if that fails, through the courts that have jurisdiction over the Marcenta operating entity, unless applicable law requires a different forum.

14. Changes to these Terms

We may update these Terms from time to time. Material changes will be reflected by updating the date above and, where appropriate, by providing notice in the product or by email. Continued use of the Service after the updated Terms take effect constitutes acceptance of the updated Terms.
